1. Description of WiseAD is a proprietary web application software designed for creating and managing online advertising campaigns through third-party advertising networks, as detailed in any Order you agree to (“Services”). Hosted on our Amsterdam-based servers, WiseAD is accessible via our website at https://wisead.io/
2. License and AccessYou are solely responsible for your use of WiseAD and that of your employees, agents, or any other person, authorized or otherwise. You are prohibited from allowing any third party to use or access WiseAD and must implement all reasonable security measures to prevent unauthorized use/access.
3. Customer ResponsibilitiesYou must provide WiseAD with accurate, current information and maintain the truthfulness of your account information. You bear sole responsibility for the content (text, logos, images), advertisements, and websites linked from the ads created using the Services.

You are solely accountable for the accuracy, legality, and intellectual property compliance of all Customer Data (as defined in 4(1)), with WiseAD having no liability for its deletion, correction, destruction, loss, or failure to store any Customer Data.

Your content must adhere to all third-party advertising network guidelines, including but not limited to Google, Microsoft, and Facebook’s trademark policies and editorial guidelines. You authorize WiseAD to publish Customer Content and advertisements across the included advertising networks.

Non-compliance with third-party network Terms and WiseAD’s Terms may result in ad rejection or account suspension/termination.

You warrant that your company or entity is legally incorporated or capable of performing legal acts if you are registering as a company or corporate entity.

When acting on behalf of another party, you warrant that you have the legal authority to bind that party to this contract.

You agree not to use WiseAD for any illegal or objectionable purposes.

You will ensure all materials you provide are free from malicious software.

4. Customer Profile and Personal DataYou are responsible for maintaining the confidentiality of your account username and password and must keep your personal data up-to-date.

You grant us a worldwide, royalty-free, non-exclusive right to use your Customer Data for providing the Services and for storing or hosting the Customer Data on wisead.io for your access.

Your private Customer Data is accessible only to you and explicitly authorized individuals, and WiseAD may use your Customer Data for aggregated metrics and trends analysis without revealing identifiable data.

As a data controller, we acknowledge your right to access and request amendment or deletion of your personal data as per WiseAD’s privacy policy.

5. WiseAD ServicesWe reserve the right to modify WiseAD without notice or liability.

We are not obliged to review your use of WiseAD and are not responsible for your use of the service or the content you send or receive through it.

6. Intellectual Property and Proprietary RightsYou are prohibited from renting, leasing, sublicensing, distributing, transferring, copying, modifying, adapting, translating, decompiling, reverse engineering, or creating derivative works from WiseAD.

All Processed Data remains our exclusive property, including all related intellectual property rights. We reserve all rights not explicitly granted to you.

7. Privacy & ConfidentialityYou agree to WiseAD's privacy policy, available on the WiseAD site, which may be updated from time to time.

You acknowledge that Confidential Information may be shared between us and agree to protect such information from unauthorized disclosure.

8. Payment and FeesPricing is based on your selected plan as shown on our website when you entered into this agreement.

You are responsible for all applicable taxes, levies, or duties. WiseAD may suspend services for late payment.

Using the Advertising Buying Feature incurs an additional 20% fee on your monthly advertising credits, with potential increases for policy violations.

9. WiseAD Credit VouchersEligibility for free WiseAD credit vouchers is subject to meeting conditions and requirements specified in your account's payment section.

Credits exceeding the free vouchers will be charged. Users can suspend ads to avoid further charges.

10. Advertising Buying FeatureThe Advertising Buying Feature enables the purchase and management of Google, Microsoft, Facebook, and Instagram ads. You agree to upfront payment for selected campaign budgets and to comply with our partners' advertising policies.
